ATD Flight Systems Acquisition

KANSAS CITY, Mo. — September 14, 2026 — A group of Northwest Missouri pilots, aviation educators, business operators, investors and aviation enthusiasts has acquired a controlling interest in ATD Flight Systems, bringing new local ownership to one of Kansas City’s longest-established charter and flight training organizations.

Northwest Missouri Aero Group, led by St. Joseph-based Managing Partner Lute Atieh, completed the transaction on June 8, 2026. Financial terms were not disclosed.

Founded in 1996 by Bill Hays, ATD Flight Systems serves as the parent organization for ATD Air Charter, an FAA Part 135 on-demand jet charter operator; ATD Aircraft Management; and ATD Pilot Training, an FAA-approved Part 141 flight training organization. ATD has operated its Part 141 school and held its Part 135 air-carrier certificate for over 20 years.

Following the transaction, the combined organization operates 25 aircraft and employs approximately 75 full- and part-time team members across five locations in Kansas City, Clinton, St. Joseph and Columbia, Missouri, and Cedar Rapids, Iowa. The expanded organization includes FlyTech, the St. Joseph flight school founded by Atieh in 2023, and the group’s Clinton location.

Hays has retired after nearly three decades of leadership. His daughter, Keara Neifach, who has led ATD for the past five years, remains part of the ownership group and will continue working alongside Atieh and the new partners as the company enters its next phase of growth.

Focused aircraft expertise

ATD’s charter and aircraft management expertise is currently focused on Citation products, including XLS+ and CJ-series aircraft. The company has developed the pilot experience, training resources and in-house maintenance capabilities needed to fly, manage and support these aircraft.

The Pilatus PC-12 will be the next aircraft platform added to ATD’s operating model, expanding its ability to serve missions requiring efficiency, range and access to smaller airports. Over the coming years, ATD also expects to evaluate a third aircraft family in the large-cabin, long-range category to accommodate international travel.

Northwest Missouri Aero Group plans to expand ATD’s aircraft availability to meet growing regional demand while maintaining its personalized approach to charter customers and aircraft owners.

An integrated operating model

ATD Air Charter operates flights directly under its own FAA Part 135 air-carrier certificate rather than acting solely as a charter broker. All ATD charter pilots are full-time company employees, and every charter flight is operated with two pilots.

ATD’s in-house pilot training and maintenance capabilities give the company greater control over crew standards, maintenance planning and aircraft readiness. This integrated model improves uptime, reduces outside handoffs, helps control costs and simplifies the experience for charter customers and aircraft owners.

ATD also holds an ARGUS Gold safety rating. The voluntary third-party review examines safety management systems, flight operations, pilot qualifications, training, fatigue management, maintenance controls, quality assurance and recordkeeping.

“Our operational model is intentional,” Atieh said. “Our charter pilots are full-time ATD employees, every charter flight is operated by two pilots, and our training and maintenance teams work alongside the people managing the aircraft and serving the customer. Keeping those capabilities together improves consistency, accountability and aircraft readiness while reducing complexity for customers and owners.”

A local operator with national reach

“At its core, ATD is a local operator with national reach,” Atieh said. “As consolidation changes the industry and some operators move toward increasingly transactional service models, our opportunity is to preserve what customers and aircraft owners value most: direct relationships, personal accountability and a team that understands their needs. Bringing flight operations, training, maintenance and aircraft management together allows us to deliver that experience consistently.”

ATD Air Charter operates from Charles B. Wheeler Downtown Airport, giving Kansas City-area businesses and travelers convenient access to on-demand flights throughout the United States. To serve customers across the region, ATD frequently repositions aircraft to area airports or arranges black car service to its downtown base for customers who prefer tower-controlled airport operations and access to ATD’s full range of amenities.

The new partners are also introducing jet lease options available to qualifying buyers of specific aircraft approved for ATD’s charter platform. Triple-net lease terms are structured to provide a truly cost-neutral ownership experience and reduce personal flying expenses while ATD manages, maintains and operates the aircraft.

Expanding professional pilot training

Supporting the broader charter and aircraft management platform, ATD Pilot Training provides FAA-approved Part 141 instruction in Kansas City and Columbia, Missouri, and Cedar Rapids, Iowa. The St. Joseph location provides FAA Part 61 pilot training under the FlyTech brand, with Part 61 training expected to become available in Clinton soon.

ATD also holds FAA examining authority for approved Part 141 courses, allowing qualifying graduates to complete the certification process through the school without scheduling a separate practical test with an FAA inspector or designated pilot examiner.

The authority does not reduce testing standards. ATD’s FAA-approved end-of-course evaluations must be at least equal in scope, depth and difficulty to the comparable FAA practical tests. For students, this provides a more direct and predictable certification process while reducing potential delays associated with finding and scheduling an outside examiner.

The FAA reports that only about 15% of certificated Part 141 schools hold examining authority for at least one approved course, while approximately 7% of private-pilot certification activity nationwide is conducted through examining authority.

Beginning in October 2026, the organization will also offer upset prevention and recovery training and tailwheel training. Twin engine and instrument boot camps will be available at ATD’s Charles B. Wheeler Downtown Airport location in Kansas City.

Training in downtown Kansas City gives students experience operating in complex, busy airspace from the beginning of their aviation education. Situational awareness is emphasized from the first day, helping students become confident navigating controlled airspace, communicating with air traffic control and managing a demanding operating environment. That experience provides a meaningful advantage as graduates pursue professional flying opportunities and is a capability aviation employers recognize and value.

ATD’s Columbia operation supports Moberly Area Community College’s Aviation Commercial Pilot program at Columbia Regional Airport. In Cedar Rapids, ATD provides flight instruction for Coe College’s aviation management and flight operations program at the Eastern Iowa Airport.

Northwest Missouri Aero Group expects to announce additional aircraft, service and training initiatives as its plans are finalized.
